1. Agreement to Terms

Welcome to Websites Nationwide. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Websites Nationwide ("we," "us," or "our"). If you do not agree to these Terms, please do not use our services. By using our services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Services

Websites Nationwide provides professional website design, development, and related digital services including but not limited to:

  • Custom website design and development
  • Website redesign and modernization
  • Mobile-responsive website development
  • Search engine optimization (SEO) services
  • Website maintenance and support
  • Consulting and strategy services

The specific scope, deliverables, timelines, and pricing for any project will be outlined in a separate Statement of Work or Project Agreement.

3. Account Registration

To access certain features of our services, you may be required to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Payment Terms

Project Payments: Payment terms for web design projects will be specified in your project proposal. Generally, we require:

  • A deposit (typically 50%) upon project initiation
  • Remaining balance upon project completion and before launch
  • Payment via credit card, bank transfer, or other agreed methods

Recurring Services: For ongoing maintenance or subscription services, fees are billed monthly or annually in advance. All fees are non-refundable unless otherwise specified.

Late Payments: Payments not received within 30 days of the due date may incur a late fee of 1.5% per month. We reserve the right to suspend services for accounts with outstanding balances.

5. Intellectual Property Rights

Our Content: Upon full payment, you will own the final website design created specifically for you. We retain ownership of:

  • Pre-designed templates, frameworks, and components used in development
  • General concepts, techniques, and know-how
  • Any reusable code libraries or tools developed

Your Content: You retain ownership of all content, text, images, and materials you provide to us. You warrant that you have the right to use all content provided and indemnify us against any claims related to your content.

Portfolio Rights: We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Project Scope and Revisions

Scope Changes: Any changes to the agreed project scope may result in additional fees and extended timelines. We will provide a written estimate for any scope changes before proceeding.

Revisions: The number of revision rounds included is specified in your project proposal. Additional revisions beyond the included amount will be billed at our standard hourly rate.

Client Cooperation: Timely feedback, approvals, and content submission are essential for meeting project timelines. Delays caused by lack of client cooperation may affect delivery dates.

7. Client Responsibilities

You agree to:

  • Provide timely feedback and approvals
  • Supply all required content, materials, and assets in a timely manner
  • Ensure all provided materials are original or properly licensed
  • Review and test deliverables thoroughly
  • Obtain necessary permissions for any third-party materials
  • Maintain accurate contact and billing information

8. Warranties and Disclaimers

Our Warranty: We warrant that our services will be performed with reasonable skill and care consistent with industry standards. We will correct any errors or issues arising from our work at no additional cost within 30 days of project completion.

Third-Party Components: We do not warrant third-party products, plugins, or services including but not limited to hosting providers, payment processors, or external APIs.

Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the total fees paid by you for the specific service in question

Our total liability for any claim arising from our services shall not exceed the amount you paid us for the services giving rise to the claim.

10. Confidentiality

We agree to keep confidential all proprietary information, trade secrets, and business information disclosed by you during our working relationship. This confidentiality obligation survives the termination of our agreement. This obligation does not apply to information that is publicly available, was known prior to disclosure, or is required to be disclosed by law.

11. Termination

Termination by You: You may terminate our services at any time with 30 days written notice. Upon termination, you will be billed for all work completed up to the termination date.

Termination by Us: We may terminate services if you breach these Terms, fail to provide necessary cooperation, or fail to make payments when due.

Effect of Termination: Upon termination, all outstanding fees become immediately due. We will deliver completed work product upon receipt of final payment.

12. Indemnification

You agree to indemnify, defend, and hold harmless Websites Nationwide, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of our services, your violation of these Terms, or your provision of content that infringes on any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wisconsin.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Continued use of our services after such changes constitutes your acceptance of the modified Terms.
